Partners Group is seeking an experienced senior investment funds lawyer to join our private markets structuring team in Zug, Switzerland.
This is a senior fund formation role with three core responsibilities:
- owning, drafting, developing and maintaining legal fund formation templates and documentation standards used across the business globally
- drafting, reviewing and negotiating fund formation and separate account documentation for live transactions; and
- training, supervising/overseeing and developing junior lawyers in fund formation drafting, negotiation and execution
The role is focused on private markets offerings for a global investor base. We are open to candidates with a European market focus, provided they are comfortable advising on fund formation matters in an international context and identifying, managing and coordinating the legal and regulatory issues relevant to globally offered products.
You will work closely with client relationship management, investment, operations, tax, compliance and other legal colleagues, as well as with external counsel and service providers, to support the design, formation, documentation and execution of commingled funds and separate managed accounts / mandates.
What you will do
- Lead the development, drafting, maintenance and governance of fund formation templates, precedents, playbooks and documentation standards used across the business globally. You will be drafting agreements directly and reviewing drafting by external legal counsel
- Draft, review and negotiate legal documentation for live fund formation transactions and separate accounts, including term sheets, LPAs, constitutional documents, PPMs, subscription agreements, side letters, investment management agreements and related documents
- Train, supervise, mentor and develop junior lawyers in fund formation drafting, negotiation, issue-spotting and transaction execution, including reviewing work product and helping build team know-how and consistency
- Advise on the legal structuring, formation and documentation of private markets products, including commingled fund structures and customized separate account / mandate solutions
- Identify, assess and help coordinate cross-border legal and regulatory issues relevant to products offered to a global investor base, including European and US regulatory considerations where relevant
- Work closely with internal stakeholders across legal, tax, compliance, operations, investment and client teams to deliver commercially practical, well-documented and scalable structuring solutions
- Manage external counsel efficiently across jurisdictions and oversee delivery of high-quality legal advice and transaction documentation
- Support the continuous improvement and standardization of legal terms, documentation processes and fund formation execution across the platform
- Communicate complex legal and structuring issues clearly and effectively to senior internal stakeholders and contribute to strategic product and execution discussions
